    Terms & Conditions

    Please read these Terms and Conditions ("Terms") carefully before using the RiderChat website or services. These Terms constitute a legally binding agreement between you and RiderChat ("RiderChat," "we," "us," or "our"). By accessing our website, submitting an invitation request, or using our services, you agree to be bound by these Terms.

    1. Description of Service

    RiderChat provides an AI-powered SMS lead-capture platform for licensed real estate agents. Buyers who scan a QR code on a property sign can text an AI assistant ("Randy") to ask questions, receive property information, and be qualified as leads, which are then routed to the relevant Agent.

    2. Invitation-Only Access

    RiderChat is currently available by invitation only. Submitting a Request Invitation form does not guarantee access to the platform. RiderChat reserves sole discretion to approve, deny, or delay any invitation request.

    3. Eligibility

    Our services are intended for licensed real estate agents (or their authorized representatives) operating in jurisdictions where RiderChat is available. By requesting an invitation or creating an account, you represent that you are at least 18 years old and hold any licenses required to lawfully practice real estate in your jurisdiction.

    4. Account Registration and Responsibilities

    If approved, you will be provided with account access and asked to submit listing information. You are responsible for:

    • The accuracy of all listing and account information you provide
    • Maintaining the confidentiality of your account credentials
    • All activity that occurs under your account
    • Complying with all applicable laws, including real estate advertising and SMS consent laws (such as CASL in Canada and the TCPA in the United States, where applicable)

    5. Subscription Plans and Billing

    • Premium Plan: $97 USD/month — 1 active listing, 1 team user
    • Pro Plan: $197 USD/month — up to 3 active listings, up to 3 team users

    Subscriptions are billed monthly in advance and renew automatically until cancelled. Upgrades take effect immediately with prorated billing; downgrades and cancellations take effect at the end of the current billing cycle. Fees are non-refundable except as required by law. RiderChat may change pricing with advance notice; continued use after a price change constitutes acceptance.

    6. AI-Generated Content Disclaimer

    Randy, our AI assistant, generates automated responses based on information you provide about your listing. While we take reasonable steps to configure Randy accurately, AI-generated responses may occasionally be incomplete, inaccurate, or out of date. You are solely responsible for verifying all information communicated to Buyers and for correcting any inaccuracies. RiderChat is not responsible for decisions made by Buyers or Agents in reliance on Randy's responses.

    7. SMS Consent and Compliance

    By using RiderChat, you acknowledge that Buyers texting your listing number are engaging in an SMS conversation with an automated assistant, and you agree to ensure your use of the service complies with applicable anti-spam and telemarketing laws in your jurisdiction, including but not limited to CASL (Canada) and the TCPA (United States, where applicable). RiderChat provides the technical infrastructure but does not assume responsibility for an individual Agent's compliance with such laws in connection with their specific use of the platform.

    8. Acceptable Use

    You agree not to use RiderChat to:

    • Send unlawful, misleading, discriminatory, or fraudulent content to Buyers
    • Violate any applicable real estate, advertising, or consumer protection law
    • Attempt to reverse-engineer, disrupt, or interfere with the platform
    • Use the service for any listing you are not authorized to represent

    9. Intellectual Property

    The RiderChat name, logo, website, and underlying technology are the property of RiderChat and its licensors. Nothing in these Terms grants you any right to use RiderChat's trademarks or branding except as necessary to operate your account.

    10. Third-Party Services

    RiderChat is built using third-party infrastructure, including Twilio, Stripe, and OpenAI. Your use of RiderChat is also subject to the applicable terms and policies of these providers where relevant. RiderChat is not responsible for outages or issues originating from third-party providers.

    11. Disclaimers

    RiderChat is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee uninterrupted or error-free service.

    12. Limitation of Liability

    To the maximum extent permitted by law, RiderChat and its founders, employees, and service providers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities, arising from your use of the service. RiderChat's total liability for any claim arising from these Terms or the service shall not exceed the amount you paid to RiderChat in the three (3) months preceding the claim.

    13. Indemnification

    You agree to indemnify and hold harmless RiderChat from any claims, damages, or expenses (including legal fees) arising from your use of the service, your listing content, or your violation of these Terms or applicable law.

    14. Termination

    RiderChat may suspend or terminate your access to the service at any time for violation of these Terms, non-payment, or other reasonable cause. You may cancel your subscription at any time in accordance with Section 5.

    15. Governing Law

    These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

    16. Changes to These Terms

    We may update these Terms from time to time. Material changes will be reflected by an updated "Effective Date" above. Continued use of the service after changes take effect constitutes acceptance of the revised Terms.
